SimpliStage Terms of Service

1. General provisions

  1. These Terms of Service define the rules for using the SimpliStage online service, available at simplistage.pl and simpli-stage.com.
  2. The service is operated by Balet Klasyczny — Nora Cotter-Szymik, registered at ul. Akacjowa 6i, 37-403 Pysznica, Poland, Tax ID (NIP): 8652590977 (hereinafter: "Operator"). Contact: fszymik@gmail.com.
  3. Using the service constitutes acceptance of these Terms of Service.

2. Definitions

  • Service: the website simplistage.pl / simpli-stage.com together with all its functionalities.
  • User: a natural or legal person using the Service.
  • Account: an individual User account created after registration.
  • Staging Service: virtual home staging service for real estate photos using the Operator's proprietary system.
  • Description Generator: free service for generating property descriptions using the Operator's proprietary system.
  • Credits (Photos): units entitling the User to use the Staging Service. Credits represent prepaid digital content.

3. Terms of use

  1. Using the Service requires internet access and a web browser.
  2. The User agrees to use the Service in accordance with the law and these Terms of Service.
  3. It is prohibited to upload content that is unlawful, infringes on the rights of third parties, or contains malicious software.
  4. The Operator reserves the right to suspend or delete the Account of a User who violates the Terms of Service.

4. Registration and account

  1. Registration requires providing an email address and creating a password. Providing this data is a contractual requirement necessary for the provision of the Service. Without it, account creation and use of the Service is not possible.
  2. The User is responsible for maintaining the confidentiality of login credentials.
  3. The User may delete their Account at any time by contacting the Operator.

5. Service description

  1. Staging Service: The User uploads a room photo and our system generates a visualization with virtual furnishing. Each photo processing uses 1 Credit.
  2. Description Generator: The User fills in a form with property details and our system generates a professional listing description. The service is free and does not require Credits.
  3. Results generated by the system are illustrative in nature and may differ from the User's expectations. The Service uses artificial intelligence technology, and the quality, style, and accuracy of generated content may vary. Subjective dissatisfaction with the aesthetic quality of a generated image does not constitute a defect in the Service.

6. Payments and final sale policy

  1. Payments for Credits are processed through the Stripe platform.
  2. Available Credit packages: 1 photo ($6), 5 photos ($27), 10 photos ($48).
  3. Prices are in US dollars (USD). Equivalent prices in PLN are available on the Polish version of the site.
  4. ALL SALES ARE FINAL. Credits represent prepaid digital content and are non-refundable, non-exchangeable, non-transferable, and carry no cash value. No refunds, credits, or exchanges will be issued under any circumstances, except where strictly required by mandatory provisions of applicable law.
  5. Credits do not expire.
  6. By completing a purchase, the User acknowledges and agrees that: (a) Credits are digital content that is delivered immediately upon purchase; (b) the nature of the Service (AI-generated image processing) means that results may vary and subjective dissatisfaction with the aesthetic quality of a generated image does not constitute a defect in the Service or grounds for a refund; (c) the Operator has no obligation to provide refunds for used or unused Credits.

7. Waiver of right of withdrawal

  1. Pursuant to Article 16(m) of Directive 2011/83/EU (Consumer Rights Directive) and Article 38 point 13 of the Polish Consumer Rights Act of 30 May 2014 (Ustawa z dnia 30 maja 2014 r. o prawach konsumenta), the right of withdrawal from a distance contract does not apply to contracts for the supply of digital content which is not supplied on a tangible medium if the performance has begun with the consumer's prior express consent and acknowledgment that thereby the right of withdrawal is lost.
  2. By purchasing Credits, the User expressly: (a) consents to the immediate delivery of digital content (Credits) before the expiration of the 14-day withdrawal period; and (b) acknowledges that by granting such consent, the User loses the right of withdrawal from the purchase.
  3. This consent is obtained through a mandatory checkbox at the point of purchase. The Operator provides confirmation of this consent via email receipt sent to the User's registered email address.

8. Copyright

  1. The User retains rights to uploaded original photos.
  2. The User receives a non-exclusive, worldwide license to use generated photos and descriptions for purposes related to real estate transactions.
  3. The Operator does not claim ownership rights to content uploaded or generated by the User.

9. Indemnification

The User agrees to indemnify, defend, and hold harmless the Operator from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) the User's use of the Service in violation of these Terms; (b) the User's violation of any rights of a third party, including intellectual property rights; (c) the User's upload of photos that the User does not have the right to use; (d) the User's use of generated content in a misleading, deceptive, or unlawful manner in real estate listings or otherwise.

10. Liability and disclaimer of warranties

  1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.
  2. The Operator does not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) AI-generated results will meet the User's expectations or requirements; (c) any defects in the Service will be corrected.
  3. The Operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of the cause of action or the theory of liability.
  4. The Operator's total aggregate liability for all claims arising out of or relating to the Service shall not exceed the total amount paid by the User for Credits during the twelve (12) months preceding the event giving rise to the claim.
  5. The Operator is not liable for any decisions made based on content generated by the system, including but not limited to real estate pricing, marketing, or sale decisions.

11. Force majeure

  1. The Operator shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the Operator's reasonable control, including but not limited to: natural disasters, acts of government, power failures, internet or telecommunications failures, third-party service provider outages (including AI processing providers, cloud hosting, and payment processors), cyberattacks, pandemics, or labor disputes.
  2. During a force majeure event, the Operator's obligations are suspended for the duration of the event. Credits held by the User remain valid and do not expire during such period.

12. Complaints

  1. Complaints should be sent to: fszymik@gmail.com.
  2. A complaint should include a description of the problem and information enabling User identification.
  3. The Operator will process the complaint within 14 business days of receipt.
  4. Filing a complaint does not entitle the User to a refund for Credits, as all sales are final pursuant to Sections 6 and 7 of these Terms. The complaint procedure does not limit the User's rights under mandatory consumer protection laws.

13. Final provisions

  1. These Terms of Service are governed by and construed in accordance with the laws of Poland.
  2. Any disputes arising from or relating to these Terms shall be resolved by the court with jurisdiction over the Operator's registered office, except where mandatory consumer protection laws grant the User the right to bring proceedings in their local court.
  3. The Operator reserves the right to amend the Terms of Service. Users will be notified of changes by email at least 14 days before the changes take effect. Continued use of the Service after the effective date of changes constitutes acceptance of the amended Terms.
  4. In the event of any discrepancy between the Polish and English versions of these Terms, the Polish version shall prevail.
  5. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
